Terms & Conditions
The Influencer must review these Terms of Service on a regular basis to stay abreast of any updates. By participating in any brand collaboration under these terms, the Influencer implicitly consents to any changes therein. Notifications will be sent for any significant modifications to these Terms of Service.
Acceptance of Terms and Collaboration Guidelines
1. Content Approval: Content generated by the Influencer for the collaboration must be submitted to Zefmo for prior approval. Publication is permissible only after receiving such approval.
2. Content Modification: Should the brand request any alterations in the content, the Influencer is obligated to make the necessary changes.
3. Content Usage Rights: The brand reserves the right to utilize or promote any content generated by the Influencer for the scope of the collaboration.
4. Public Commentary: The Influencer shall refrain from making any public comments or sharing opinions that may disparage the brand or product in question on any social media channels before, during, or after the term of the collaboration.
5. Commercial Basis: The association is strictly commercial and is predicated on a specified set of deliverables by the Influencer.
6. Feedback Incorporation: The Influencer is required to implement any feedback provided by Zefmo and/or the brand.
7. Device Policy: Devices furnished for the purpose of review and content creation must be returned after the collaboration unless specified otherwise.
8. Competing Brands: No references, comparisons, or visible features of competing brands or products are allowed in the campaign posts or content.
9. Penalties: Should the Influencer withdraw after confirming participation, a penalty fee constituting 15% of the agreed commercials will be payable to Zefmo.
10. Incomplete Deliverables: Compensation will be pro-rated and only applicable for posts that are live. Non-live posts will not be considered completed deliverables.
11. Cancellation Right: Zefmo reserves the right to cancel the collaboration without financial obligations if the Influencer fails to incorporate the brand’s feedback.
12. Content Etiquette: All published content should be in line with the brand’s guidelines and must not be derogatory or demeaning.
13. Content Edits: The Influencer is obligated to make at least two edits, including videos, if requested by the brand.
14. Confidentiality of Commercial Terms: The commercial terms agreed upon between the Influencer and Zefmo are strictly confidential. Unauthorized disclosure of these terms to any third parties, including clients, is considered a breach of trust and may result in immediate termination of the collaboration and/or legal action.
The Influencer agrees to indemnify, defend, and hold harmless Zefmo, its affiliates, successors, and assignees, as well as their respective investors, directors, officers, employees, agents, and suppliers (including distributors and content licensors), against any losses, claims, damages, and liabilities, including legal fees and expenses, arising out of:
1. Violation of these Terms, including breaches of representations or warranties herein;
2. Misuse, or unauthorized access to Zefmo’s Services;
3. Infringement of any laws, regulations, or third-party rights, including but not limited to, copyright, property, or privacy rights;
4. Any claims suggesting that the Influencer has caused harm to a third party.
Governing Law and Jurisdiction -
These Terms of Service are governed by and construed in accordance with Indian law. Both parties consent to the exclusive jurisdiction of the Courts of New Delhi, India.
